Terms of Service

These Terms of Service (“Terms”) govern your access to and use of FoCal Forms & Calendars (the “Service”), operated by CBNEXT MKT SOLUTION(“we”, “us”, or “our”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Eligibility & Accounts

You must be at least 13 years old (or the minimum age of digital consent in your jurisdiction) to use the Service. You are responsible for the accuracy of your account information, for keeping your credentials secure, and for all activity that occurs under your account.

2. Acceptable Use

You agree not to use the Service to:

• Violate any law or the rights of others, or collect data without required consent.
• Send spam, phishing, malware, or other harmful or deceptive content.
• Upload unlawful, infringing, or abusive material.
• Interfere with, overload, reverse engineer, or attempt to gain unauthorized access to the Service or its infrastructure.
• Resell or provide the Service to third parties except as expressly permitted by your plan.

We may suspend or terminate accounts that violate these Terms or that create risk or legal exposure for us or other users.

3. Your Content

You retain ownership of the forms, responses, calendars, files, and other content you create or collect through the Service (“Your Content”). You grant us a limited license to host, process, and display Your Content solely to operate and provide the Service to you. You are responsible for Your Content and for complying with all laws applicable to the data you collect.

4. Plans, Billing & Refunds

The Service offers a free plan and paid subscription plans. Paid plans are billed in advance on a recurring basis through our payment processor, Stripe. Fees are non-refundable except where required by law. You can cancel at any time; cancellation takes effect at the end of the current billing period. We may change pricing or plan features with reasonable notice.

5. Intellectual Property

The Service, including its software, design, and trademarks, is owned by CBNEXT MKT SOLUTION and its licensors and is protected by intellectual property laws. These Terms do not grant you any right to our trademarks or branding except as needed to use the Service.

6. Third-Party Services

The Service may integrate with or rely on third-party services (such as payment and email providers). We are not responsible for third-party services, and your use of them may be subject to their own terms.

7. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free.

8. Limitation of Liability

To the maximum extent permitted by law, CBNEXT MKT SOLUTION will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of data, profits, or revenue. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim or USD $100.

9. Indemnification

You agree to indemnify and hold harmless CBNEXT MKT SOLUTION from any claims, damages, or expenses arising out of Your Content, your use of the Service, or your violation of these Terms or applicable law.

10. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if necessary to protect the Service or other users. Upon termination, the rights granted to you under these Terms will end.

11. Governing Law

These Terms are governed by the laws of the State of Delaware and the United States, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the state and federal courts located in Delaware for any dispute that is not subject to other agreed dispute resolution.

12. Changes to These Terms

We may update these Terms from time to time. When we make material changes, we will update the effective date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
